Mergers & Acquisitions

We have advised foreign and domestic companies, their stockholders and their respective financial advisors in more than 100 mergers, acquisitions, divestitures and joint ventures in middle market transactions up to $250,000,000.  Our engagements have included due diligence investigations, the structuring of the transaction and the drafting of all transaction documents, including stock, asset purchase, merger, and joint venture agreements, necessary to comply with applicable corporate, securities and other laws.  We also advise the members of the Board of Directors of private companies with respect to their duties and responsibilities related to mergers, acquisitions, divestitures and joint ventures.

Labor & Employment

Our labor and employment practice focuses on the development and implementation of preventive strategies with respect to labor and employment related issues.  It includes the preparation of employee handbooks and policy statements, drafting and negotiating employment agreements for senior employees, officers and directors, preparation of engagement letters, and advice on the suitability and enforceability of confidentiality and non-competition clauses and agreements.

Immigration Law

            Our firm advises corporate clients with regard to obtaining temporary and permanent work authorization for potential employees.  In particular, we counsel clients and prepare applications for the following immigration categories:
